Thank you for your interest in becoming a Channel Partner for the Computational Thinking Olympiad and Financial Literacy & Entrepreneurial Thinking Olympiad.
These Terms and Conditions ("Terms") govern your participation as a Channel Partner for the Program. By signing up as a Channel Partner, you agree to be bound by these Terms.
- Channel Partner Responsibilities
- Promote the Program: You will use commercially reasonable efforts to promote the Program to your existing client schools (collectively, "Schools") located within your designated region. This may include, but is not limited to, email marketing, website promotion, and attending relevant industry events.
- School Outreach: You will identify and contact Schools that may be interested in participating in the Program.
- Accurate Information: You will provide Schools with accurate and up-to-date information about the Program, including registration procedures, fees, and deadlines.
- Compliance with Laws: You will comply with all applicable laws and regulations in your marketing and promotional activities.
- Data Protection: You will comply with all applicable data protection laws and regulations regarding the collection and use of School and student data
- Your Use of Our Brand
- You are granted a non-exclusive, non-transferable, limited license to use our trademarks and logos solely for the purpose of promoting the Program to Schools within your designated region.
- You will use our brand in accordance with our brand guidelines, which will be provided to you upon signing up.
- Commission
- You will be eligible to earn commission on each School and student enrolled in the Program through your efforts.
- The specific commission rate will be outlined in a separate Commission Agreement.
- We reserve the right to modify the commission rate structure at any time with written notice to you.
- Term and Termination
- These Terms will commence on the date you sign up as a Channel Partner ("Effective Date") and will remain in effect until terminated by either party.
- We may terminate these Terms for any reason, with or without cause, upon written notice to you.
- You may terminate these Terms by providing us with written notice.
- Independent Contractor
- You are an independent contractor and not an employee, agent, or representative of stepo.org
- Disclaimer of Warranties
- The Program and all materials provided hereunder are provided "As Is" and without warranties of any kind, either express or implied. We disclaim all warranties, including, but not limited to, warranties of Merchantability, fitness for a particular purpose, and non-infringement.
- Limitation of Liability
- In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to these terms or the program, even if we have been advised of the possibility of such damages.
- Governing Law and Dispute Resolution
- These Terms will be governed by and construed in accordance with the laws of the State of [Maharashtra], without regard to its conflict of laws provisions.
- Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts located in [India], State of [Maharashtra].
- Entire Agreement
- These Terms constitute the entire agreement between you and us with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
- Amendment
- We may amend these Terms at any time by posting the amended Terms on our website. You are responsible for periodically reviewing the Terms. Your continued participation in the Program after the posting of amended Terms constitutes your acceptance of the amended Terms.
- Severability
- If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
- Waiver
- No waiver of any provision of these Terms will be effective unless in writing and signed by both you and us.
- Assignment
- You may not assign these Terms without our prior written consent.
- Notices
- All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified or registered mail, return receipt requested, postage prepaid, or sent by overnight courier, to the addresses set forth below.
